The Board of Supervisors, acting for and on behalf of Yazoo County, Mississippi (the “County”), took up for consideration the matter of issuing general obligation bonds of the County in the principal amount not to exceed Two Million Five Hundred Thousand Dollars ($2,500,000) for the purpose of providing funds to pay for the cost of (i) constructing, reconstructing, and repairing roads, highways and bridges, and acquiring the necessary land, including land for road building materials, acquiring rights-of-way therefor; and the purchase of heavy construction equipment and accessories thereto reasonably required to construct, repair and renovate roads, highways and bridges and approaches thereto within the County; (ii) paying the costs of issuing the bonds; and (iii) other related improvements within the County.
Thereupon, Supervisor Willie Wright offered and moved the adoption of the following resolution (the “Resolution”):
RESOLUTION DECLARING THE INTENTION OF THE BOARD OF SUPERVISORS OF YAZOO COUNTY, MISSISSIPPI TO ISSUE GENERAL OBLIGATION BONDS FOR THE PURPOSE OF PROVIDING FUNDS TO PAY FOR THE COST OF (I) CONSTRUCTING, RECONSTRUCTING, AND REPAIRING ROADS, HIGHWAYS AND BRIDGES, AND ACQUIRING THE NECESSARY LAND, INCLUDING LAND FOR ROAD BUILDING MATERIALS, ACQUIRING RIGHTS-OF-WAY THEREFOR; AND THE PURCHASE OF HEAVY CONSTRUCTION EQUIPMENT AND ACCESSORIES THERETO REASONABLY REQUIRED TO CONSTRUCT, REPAIR AND RENOVATE ROADS, HIGHWAYS AND BRIDGES AND APPROACHES THERETO WITHIN THE COUNTY; (II) PAYING THE COSTS OF ISSUING THE BONDS; AND (III) OTHER RELATED IMPROVEMENTS WITHIN THE COUNTY.
WHEREAS, the Board of Supervisors of Yazoo County, Mississippi (the “Governing Body” of the “County”), does hereby find, determine, adjudicate, and declare as follows:
1. The County is authorized by Sections 19-9-1 et seq., Mississippi Code of 1972, as amended (the “Code”), to issue general obligation bonds for the purpose of providing funds to pay for the cost of (i) constructing, reconstructing, and repairing roads, highways and bridges, and acquiring the necessary land, including land for road building materials, acquiring rights-of-way therefor; and the purchase of heavy construction equipment and accessories thereto reasonably required to construct, repair and renovate roads, highways and bridges and approaches thereto within the County; (ii) paying the costs of issuing the bonds; and (iii) other related improvements within the County (the “Project”).
2. It is now necessary and in the public interest for the County to issue general obligation bonds in a principal amount not to exceed Two Million Five Hundred Thousand Dollars ($2,500,000) (the “Bonds”) to provide funds to pay for the cost of the Project.
3. The assessed valuation of all taxable property within the County as of March, 2012, according to the last completed assessment for taxation, is the sum of One Hundred Fifty-four Million Two Hundred Sixty-seven Thousand Seven Hundred Ninety-nine Dollars ($154,267,799).  The total amount of general obligation bonds that may be issued for any purpose is generally limited, in the aggregate, to twenty percent (20%) of the assessed value of the County, and approximately Two Million Five Hundred Thousand Dollars ($2,500,000) of the aggregate amount will be expended for purposes that are subject to this 20% limitation.  For purposes of the 20% limitation, the County has Five Million One Hundred Ten Thousand Four Hundred Seventy-five Dollars ($5,110,475) principal amount of general obligation bonds outstanding.  Approximately Two Million Five Hundred Thousand Dollars ($2,500,000) of the aggregate amount of bonds issued for the proposed purposes herein are subject to a limitation of fifteen percent (15%) of the assessed value of the County.  For purposes of the 15% limitation, the County has Five Million One Hundred Ten Thousand Four Hundred Seventy-five Dollars ($5,110,475) principal amount of general obligation bonds outstanding.  Accordingly, the issuance of the Bonds for these purposes will not exceed any debt limitation prescribed by law, including the limitations imposed by Section 19-9-5 of the Code.
NOW, THEREFORE, BE IT RESOLVED BY THE GOVERNING BODY OF THE COUNTY AS FOLLOWS:
SECTION 1. The Governing Body of the County does hereby declare its intention to issue the Bonds of the County in the principal amount not to exceed Two Million Five Hundred Thousand Dollars ($2,500,000) to be used for the purpose of providing funds to pay for the cost of (i) constructing, reconstructing, and repairing roads, highways and bridges, and acquiring the necessary land, including land for road building materials, acquiring rights-of-way therefor; and the purchase of heavy construction equipment and accessories thereto reasonably required to construct, repair and renovate roads, highways and bridges and approaches thereto within the County; (ii) paying the costs of issuing the bonds; and (iii) other related improvements within the County.
SECTION 2. The Bonds will be general obligations and will be secured by a special tax levied annually on all taxable property within the County in an amount which will be sufficient to pay the principal and interest on the Bonds as each becomes due and payable.
SECTION 3. The Governing Body reasonably expects that a portion of the cost of the Project in the maximum amount set forth above will be reimbursed from the proceeds of the Bonds.  This Resolution is being adopted as required by and in order to comply with the “Reimbursement Rules” set forth in the Internal Revenue Code of 1986 and the rules and regulations promulgated thereunder including specifically Internal Revenue Code Regulation 1.150-2 and appearing at 58 Federal Register 33510 and with the laws of the State of Mississippi.  The Governing Body reasonably expects to make the reimbursement allocation from the proceeds of the Bonds to the respective fund or accounts of the County from which the capital expenditures have been made no later than eighteen (18) months after the later of the date of the expenditure or the date that the Project is placed in service, but in no event more than three (3) years after the date of the first expenditure.
SECTION 4.    The Governing Body proposes to direct the issuance of all or any portion of the Bonds in the amount and for the aforesaid purposes at a meeting of the Governing Body to be held at its regular meeting place at the Chancery Building in Yazoo City, Mississippi, at ten o’clock (10:00 a.m.) on Monday, the 6th day of August, 2012, or at some meeting held subsequent thereto.  If twenty percent (20%) or fifteen hundred (1,500), whichever is less, of the qualified electors in the County shall file a written protest with the Clerk of the County against the issuance of the Bonds on or before the aforesaid date and hour, then the Bonds shall not be issued unless authorized at an election on the question of the issuance of the Bonds.  Such election shall be called and held as provided by law.  If no protest is filed, then the Bonds may be issued without an election on the question of the issuance thereof at any time within a period of two (2) years after the date above specified.
SECTION 5. This Resolution shall be published once a week for at least three (3) consecutive weeks in The Yazoo Herald, a newspaper having a general circulation in the County and qualified under the provisions of Section 13-3-31 of the Code.  The first publication of this Resolution shall be made not less than twenty-one (21) days prior to August 6, 2012, and the last publication shall be made not more than seven (7) days prior to such date, said Resolution to be published on or about July 11, July 18, July 25, and August 1, 2012.
SECTION 6. The Clerk of the County shall be and hereby is directed to procure from the publisher of the aforesaid newspaper the customary proof of said publication of this Resolution and have same before the Governing Body on the date and hour specified in Section 4 hereof.

The Board of Supervisors, acting for and on behalf of Yazoo County, Mississippi (the “County”), took up for consideration the matter of issuing general obligation bonds of the County in the principal amount not to exceed Two Million Five Hundred Thousand Dollars ($2,500,000) for the purpose of providing funds to pay for the cost of (i) constructing, reconstructing, and repairing roads, highways and bridges, and acquiring the necessary land, including land for road building materials, acquiring rights-of-way therefor; and the purchase of heavy construction equipment and accessories thereto reasonably required to construct, repair and renovate roads, highways and bridges and approaches thereto within the County; (ii) paying the costs of issuing the bonds; and (iii) other related improvements within the County.
Thereupon, Supervisor Willie Wright offered and moved the adoption of the following resolution (the “Resolution”):
RESOLUTION DECLARING THE INTENTION OF THE BOARD OF SUPERVISORS OF YAZOO COUNTY, MISSISSIPPI TO ISSUE GENERAL OBLIGATION BONDS FOR THE PURPOSE OF PROVIDING FUNDS TO PAY FOR THE COST OF (I) CONSTRUCTING, RECONSTRUCTING, AND REPAIRING ROADS, HIGHWAYS AND BRIDGES, AND ACQUIRING THE NECESSARY LAND, INCLUDING LAND FOR ROAD BUILDING MATERIALS, ACQUIRING RIGHTS-OF-WAY THEREFOR; AND THE PURCHASE OF HEAVY CONSTRUCTION EQUIPMENT AND ACCESSORIES THERETO REASONABLY REQUIRED TO CONSTRUCT, REPAIR AND RENOVATE ROADS, HIGHWAYS AND BRIDGES AND APPROACHES THERETO WITHIN THE COUNTY; (II) PAYING THE COSTS OF ISSUING THE BONDS; AND (III) OTHER RELATED IMPROVEMENTS WITHIN THE COUNTY.
WHEREAS, the Board of Supervisors of Yazoo County, Mississippi (the “Governing Body” of the “County”), does hereby find, determine, adjudicate, and declare as follows:
1. The County is authorized by Sections 19-9-1 et seq., Mississippi Code of 1972, as amended (the “Code”), to issue general obligation bonds for the purpose of providing funds to pay for the cost of (i) constructing, reconstructing, and repairing roads, highways and bridges, and acquiring the necessary land, including land for road building materials, acquiring rights-of-way therefor; and the purchase of heavy construction equipment and accessories thereto reasonably required to construct, repair and renovate roads, highways and bridges and approaches thereto within the County; (ii) paying the costs of issuing the bonds; and (iii) other related improvements within the County (the “Project”).
2. It is now necessary and in the public interest for the County to issue general obligation bonds in a principal amount not to exceed Two Million Five Hundred Thousand Dollars ($2,500,000) (the “Bonds”) to provide funds to pay for the cost of the Project.
3. The assessed valuation of all taxable property within the County as of March, 2012, according to the last completed assessment for taxation, is the sum of One Hundred Fifty-four Million Two Hundred Sixty-seven Thousand Seven Hundred Ninety-nine Dollars ($154,267,799).  The total amount of general obligation bonds that may be issued for any purpose is generally limited, in the aggregate, to twenty percent (20%) of the assessed value of the County, and approximately Two Million Five Hundred Thousand Dollars ($2,500,000) of the aggregate amount will be expended for purposes that are subject to this 20% limitation.  For purposes of the 20% limitation, the County has Five Million One Hundred Ten Thousand Four Hundred Seventy-five Dollars ($5,110,475) principal amount of general obligation bonds outstanding.  Approximately Two Million Five Hundred Thousand Dollars ($2,500,000) of the aggregate amount of bonds issued for the proposed purposes herein are subject to a limitation of fifteen percent (15%) of the assessed value of the County.  For purposes of the 15% limitation, the County has Five Million One Hundred Ten Thousand Four Hundred Seventy-five Dollars ($5,110,475) principal amount of general obligation bonds outstanding.  Accordingly, the issuance of the Bonds for these purposes will not exceed any debt limitation prescribed by law, including the limitations imposed by Section 19-9-5 of the Code.
NOW, THEREFORE, BE IT RESOLVED BY THE GOVERNING BODY OF THE COUNTY AS FOLLOWS:

The Governing Body of the County does hereby declare its intention to issue the Bonds of the County in the principal amount not to exceed Two Million Five Hundred Thousand Dollars ($2,500,000) to be used for the purpose of providing funds to pay for the cost of (i) constructing, reconstructing, and repairing roads, highways and bridges, and acquiring the necessary land, including land for road building materials, acquiring rights-of-way therefor; and the purchase of heavy construction equipment and accessories thereto reasonably required to construct, repair and renovate roads, highways and bridges and approaches thereto within the County; (ii) paying the costs of issuing the bonds; and (iii) other related improvements within the County.
SECTION 2. The Bonds will be general obligations and will be secured by a special tax levied annually on all taxable property within the County in an amount which will be sufficient to pay the principal and interest on the Bonds as each becomes due and payable.
SECTION 3. The Governing Body reasonably expects that a portion of the cost of the Project in the maximum amount set forth above will be reimbursed from the proceeds of the Bonds.  This Resolution is being adopted as required by and in order to comply with the “Reimbursement Rules” set forth in the Internal Revenue Code of 1986 and the rules and regulations promulgated thereunder including specifically Internal Revenue Code Regulation 1.150-2 and appearing at 58 Federal Register 33510 and with the laws of the State of Mississippi.  The Governing Body reasonably expects to make the reimbursement allocation from the proceeds of the Bonds to the respective fund or accounts of the County from which the capital expenditures have been made no later than eighteen (18) months after the later of the date of the expenditure or the date that the Project is placed in service, but in no event more than three (3) years after the date of the first expenditure.
SECTION 4.    The Governing Body proposes to direct the issuance of all or any portion of the Bonds in the amount and for the aforesaid purposes at a meeting of the Governing Body to be held at its regular meeting place at the Chancery Building in Yazoo City, Mississippi, at ten o’clock (10:00 a.m.) on Monday, the 6th day of August, 2012, or at some meeting held subsequent thereto.  If twenty percent (20%) or fifteen hundred (1,500), whichever is less, of the qualified electors in the County shall file a written protest with the Clerk of the County against the issuance of the Bonds on or before the aforesaid date and hour, then the Bonds shall not be issued unless authorized at an election on the question of the issuance of the Bonds.  Such election shall be called and held as provided by law.  If no protest is filed, then the Bonds may be issued without an election on the question of the issuance thereof at any time within a period of two (2) years after the date above specified.
SECTION 5. This Resolution shall be published once a week for at least three (3) consecutive weeks in The Yazoo Herald, a newspaper having a general circulation in the County and qualified under the provisions of Section 13-3-31 of the Code.  The first publication of this Resolution shall be made not less than twenty-one (21) days prior to August 6, 2012, and the last publication shall be made not more than seven (7) days prior to such date, said Resolution to be published on or about July 11, July 18, July 25, and August 1, 2012.
SECTION 6. The Clerk of the County shall be and hereby is directed to procure from the publisher of the aforesaid newspaper the customary proof of said publication of this Resolution and have same before the Governing Body on the date and hour specified in Section 4 hereof.

WHEREAS, on the 5th day of November, 2004, and acknowledged on the 5th day of November, 2004, Daniel H. Purvis aka Daniel Purvis and Holly C. Purvis, husband and wife, executed and delivered a certain Deed of Trust unto Charles A. Myers, Trustee for Mortgage Electronic Registration Systems, Inc., as nominee for Realty Mortgage Corporation, Beneficiary, to secure an indebtedness therein described, which Deed of Trust is recorded in the office of the Chancery Clerk of Yazoo County, Mississippi in Book 317B at Page 591; and
WHEREAS, on the 26th day of September, 2011, Mortgage Electronic Registration Systems, Inc., as nominee for Realty Mortgage Corporation, assigned said Deed of Trust unto Wells Fargo Bank, NA, by instrument recorded in the office of the aforesaid Chancery Clerk in  Book 396B  at Page 540; and      
WHEREAS, on the 15th day of May, 2012, the Holder of said Deed of Trust substituted and appointed Emily Kaye Courteau as Trustee in said Deed of Trust, by instrument recorded in the office of the aforesaid Chancery Clerk in Book 403B at Page 0424; and
WHEREAS, default having been made in the payments of the indebtedness secured by the said Deed of Trust, and the holder of said Deed of Trust, having requested the undersigned so to do, on the 1st day of August, 2012, I will during the lawful hours of between 11:00 a.m. and 4:00 p.m., at public outcry, offer for sale and will sell, at the corner of Washington Street and Highway 149 (209 East Broadway, Yazoo City) front door of the Yazoo City Courthouse, being the south door at Yazoo City, Mississippi, for cash to the highest bidder, the following described land and property situated in Yazoo County, Mississippi, to-wit:
That certain two acres of land located in the Northwest 1/4 of Section 18, Township 12 North, Range 1 East of Yazoo County, Mississippi described as follows:
Beginning at a point on the South boundary of the Eden to Midway public road, said point being 1,727.6 feet East and 712.4 feet South of the Northwest corner of Section 18, Township 12 North, Range 1 East; thence South 2 degrees 08 minutes West 502.2 feet, thence South 89 degrees 39 minutes West 234.9 feet; thence North 16 degrees 47 minutes East 525.0 feet; thence North 89 degrees 39 minutes East 102.0 feet along South boundary of said public road to the point of beginning, containing 2.0 acres, more or less, in the Northwest 1/4 of said Section 18, in Yazoo County, Mississippi.
I will only convey such title as is vested in me as Substitute Trustee.

The Board of Supervisors, acting for and on behalf of Yazoo County, Mississippi (the “County”), took up for consideration the matter of issuing general obligation bonds of the County in the principal amount not to exceed Two Million Five Hundred Thousand Dollars ($2,500,000) for the purpose of providing funds to pay for the cost of (i) constructing, reconstructing, and repairing roads, highways and bridges, and acquiring the necessary land, including land for road building materials, acquiring rights-of-way therefor; and the purchase of heavy construction equipment and accessories thereto reasonably required to construct, repair and renovate roads, highways and bridges and approaches thereto within the County; (ii) paying the costs of issuing the bonds; and (iii) other related improvements within the County.
Thereupon, Supervisor Willie Wright offered and moved the adoption of the following resolution (the “Resolution”):
RESOLUTION DECLARING THE INTENTION OF THE BOARD OF SUPERVISORS OF YAZOO COUNTY, MISSISSIPPI TO ISSUE GENERAL OBLIGATION BONDS FOR THE PURPOSE OF PROVIDING FUNDS TO PAY FOR THE COST OF (I) CONSTRUCTING, RECONSTRUCTING, AND REPAIRING ROADS, HIGHWAYS AND BRIDGES, AND ACQUIRING THE NECESSARY LAND, INCLUDING LAND FOR ROAD BUILDING MATERIALS, ACQUIRING RIGHTS-OF-WAY THEREFOR; AND THE PURCHASE OF HEAVY CONSTRUCTION EQUIPMENT AND ACCESSORIES THERETO REASONABLY REQUIRED TO CONSTRUCT, REPAIR AND RENOVATE ROADS, HIGHWAYS AND BRIDGES AND APPROACHES THERETO WITHIN THE COUNTY; (II) PAYING THE COSTS OF ISSUING THE BONDS; AND (III) OTHER RELATED IMPROVEMENTS WITHIN THE COUNTY.
WHEREAS, the Board of Supervisors of Yazoo County, Mississippi (the “Governing Body” of the “County”), does hereby find, determine, adjudicate, and declare as follows:
1. The County is authorized by Sections 19-9-1 et seq., Mississippi Code of 1972, as amended (the “Code”), to issue general obligation bonds for the purpose of providing funds to pay for the cost of (i) constructing, reconstructing, and repairing roads, highways and bridges, and acquiring the necessary land, including land for road building materials, acquiring rights-of-way therefor; and the purchase of heavy construction equipment and accessories thereto reasonably required to construct, repair and renovate roads, highways and bridges and approaches thereto within the County; (ii) paying the costs of issuing the bonds; and (iii) other related improvements within the County (the “Project”).
2. It is now necessary and in the public interest for the County to issue general obligation bonds in a principal amount not to exceed Two Million Five Hundred Thousand Dollars ($2,500,000) (the “Bonds”) to provide funds to pay for the cost of the Project.
3. The assessed valuation of all taxable property within the County as of March, 2012, according to the last completed assessment for taxation, is the sum of One Hundred Fifty-four Million Two Hundred Sixty-seven Thousand Seven Hundred Ninety-nine Dollars ($154,267,799).  The total amount of general obligation bonds that may be issued for any purpose is generally limited, in the aggregate, to twenty percent (20%) of the assessed value of the County, and approximately Two Million Five Hundred Thousand Dollars ($2,500,000) of the aggregate amount will be expended for purposes that are subject to this 20% limitation.  For purposes of the 20% limitation, the County has Five Million One Hundred Ten Thousand Four Hundred Seventy-five Dollars ($5,110,475) principal amount of general obligation bonds outstanding.  Approximately Two Million Five Hundred Thousand Dollars ($2,500,000) of the aggregate amount of bonds issued for the proposed purposes herein are subject to a limitation of fifteen percent (15%) of the assessed value of the County.  For purposes of the 15% limitation, the County has Five Million One Hundred Ten Thousand Four Hundred Seventy-five Dollars ($5,110,475) principal amount of general obligation bonds outstanding.  Accordingly, the issuance of the Bonds for these purposes will not exceed any debt limitation prescribed by law, including the limitations imposed by Section 19-9-5 of the Code.
NOW, THEREFORE, BE IT RESOLVED BY THE GOVERNING BODY OF THE COUNTY AS FOLLOWS:
SECTION 1. The Governing Body of the County does hereby declare its intention to issue the Bonds of the County in the principal amount not to exceed Two Million Five Hundred Thousand Dollars ($2,500,000) to be used for the purpose of providing funds to pay for the cost of (i) constructing, reconstructing, and repairing roads, highways and bridges, and acquiring the necessary land, including land for road building materials, acquiring rights-of-way therefor; and the purchase of heavy construction equipment and accessories thereto reasonably required to construct, repair and renovate roads, highways and bridges and approaches thereto within the County; (ii) paying the costs of issuing the bonds; and (iii) other related improvements within the County.
SECTION 2. The Bonds will be general obligations and will be secured by a special tax levied annually on all taxable property within the County in an amount which will be sufficient to pay the principal and interest on the Bonds as each becomes due and payable.
SECTION 3. The Governing Body reasonably expects that a portion of the cost of the Project in the maximum amount set forth above will be reimbursed from the proceeds of the Bonds.  This Resolution is being adopted as required by and in order to comply with the “Reimbursement Rules” set forth in the Internal Revenue Code of 1986 and the rules and regulations promulgated thereunder including specifically Internal Revenue Code Regulation 1.150-2 and appearing at 58 Federal Register 33510 and with the laws of the State of Mississippi.  The Governing Body reasonably expects to make the reimbursement allocation from the proceeds of the Bonds to the respective fund or accounts of the County from which the capital expenditures have been made no later than eighteen (18) months after the later of the date of the expenditure or the date that the Project is placed in service, but in no event more than three (3) years after the date of the first expenditure.
SECTION 4.    The Governing Body proposes to direct the issuance of all or any portion of the Bonds in the amount and for the aforesaid purposes at a meeting of the Governing Body to be held at its regular meeting place at the Chancery Building in Yazoo City, Mississippi, at ten o’clock (10:00 a.m.) on Monday, the 6th day of August, 2012, or at some meeting held subsequent thereto.  If twenty percent (20%) or fifteen hundred (1,500), whichever is less, of the qualified electors in the County shall file a written protest with the Clerk of the County against the issuance of the Bonds on or before the aforesaid date and hour, then the Bonds shall not be issued unless authorized at an election on the question of the issuance of the Bonds.  Such election shall be called and held as provided by law.  If no protest is filed, then the Bonds may be issued without an election on the question of the issuance thereof at any time within a period of two (2) years after the date above specified.
SECTION 5. This Resolution shall be published once a week for at least three (3) consecutive weeks in The Yazoo Herald, a newspaper having a general circulation in the County and qualified under the provisions of Section 13-3-31 of the Code.  The first publication of this Resolution shall be made not less than twenty-one (21) days prior to August 6, 2012, and the last publication shall be made not more than seven (7) days prior to such date, said Resolution to be published on or about July 11, July 18, July 25, and August 1, 2012.
SECTION 6. The Clerk of the County shall be and hereby is directed to procure from the publisher of the aforesaid newspaper the customary proof of said publication of this Resolution and have same before the Governing Body on the date and hour specified in Section 4 hereof.
